Common questions
Questions about corporate law
- How long does it take to incorporate a company in Colombia?
- Incorporating a SAS before the Chamber of Commerce takes between 2 and 5 business days once complete documents are filed. It takes longer where sectoral permits are required, where contributions in kind need appraisal, or where a foreign shareholder must first obtain a Colombian tax ID.
- Can a foreign company own 100% of a Colombian entity?
- Yes. Colombia allows full foreign ownership in most sectors, subject to registration of the foreign investment with the Banco de la República. A few regulated sectors — defence, and certain media and financial activities — carry specific restrictions or prior authorisation requirements.
- What does legal due diligence review before an acquisition?
- It reviews minute and shareholder books, real estate title, trademark status, the legal requirements matrix, and compliance in occupational health and safety, environmental, employment, tax and corporate matters. The purpose is to quantify contingencies before the purchase price is fixed.
